Dear Sir/Madam,

Amendment to the Listing Agreement

This has reference to our circular no. SMDRP/Policy/Cir-26/00 dated July 04, 2000 wherein, Exchanges were advised to amend Para 3 of Clause 41 of the Listing Agreement.

The last para of the format of the review report has been partially modified by substituting the word "misstatement" with "material misstatement" and the last para of the format of the review report shall be read as under :

"Based on our review conducted as above, nothing has come to our notice that causes us to believe that the accompanying statement of unaudited financial results has not disclosed the information required to be disclosed in terms of Clause 41 of the Listing Agreement including the manner in which it is to be disclosed, or that it contains any material misstatement". Stock Exchanges are advised to amend the Clause 41 of the Listing Agreement to incorporate the above modification immediately and also confirm the compliance.
