Further to the Public Announcement (“PA”) to the shareholders of MphasiS BFL Limited (the “Company”) dated April 4, 2006, issued by Citigroup Global Markets India Private Limited on behalf of TH Holdings (the “Acquirer”) along with Electronic Data Systems Corporation as Person Acting in Concert with the Acquirer , pursuant to Regulation 10 and Regulation 12 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto, the shareholders of the Company are hereby advised to note that the information appearing in paragraphs 44, 46, 49, 50, 54, 58, 60 and 66 in the PA has been amended (to the extent required) as below. This announcement should be read in conjunction with the PA.
